Loosing my mind! Kernel panic. Help!

okay, normally I would just browse until find an answer; but nothing has helped. I'm three days in and I haven't made little progress.

Intel i7 4790K
Zotac GTX 970
MSI Z97
Windows 7

Here's the dealio... I have been getting this kernal panic error and I simply cannot find a way to get past it. I went into my Bios settings and changes the follow:
CFG Lock to Disabled
VT-d to Disabled

I've also tried -x -s GraphicsEnabler=No -x maxmem=4096
